Ica is one of the five provinces in Ica region,
Peru; according to Census 2005 it has population of 297,771
(from Wikipedia).
Its flag with full story in Spanish is shown in the

Considering the text on the flag («Ciudad de Ica»),
the domain name, and the contents of this link, I’m sure this is the
flag of Ica city (see in the
English and
Spanish Wikipedias).
Ica city is the capital of the synonym region and
province and may be conterminous with the synonym district.
The grapes on the flag may refer to pisco wine, which is the local
major crop. The water bowl may stand for the Huacachina oasis or for
the local river Ica.

This flag, green over yellow descending diagonal, is however not the
provincial flag, but the municipal flag, trusting the
Spanish Wikipedia article.
Here's a standard image of the flag, based on the cartoon like image Valentin
found, conjectural ratio ~3:5. A plain flag, only with the two triangular fields
and no additional charges, is shown as the flag in

Precisely at
http://www.muniica.gob.pe/images/alcalde.png. Where we can see that the
shades of yellow and green are indeed dark as suggested in the file history of
the
Wikimedia images, that the blue area of the emblem does not have wave
outlines, that the sun rays are attached, white with red outline, not loose,
solid black; and that the grape bunches have white outline.
Please consider my image as a flat rendition of the cartoon image of the flag
reported by Valentin; a standard image of the actual flag is
this still sought.
Note also that the grapes+sun+water emblem shown on the flag is not the local
coat of arms, which is, in all its Spanish American splendor, shown at
http://www.muniica.gob.pe/images/escudomuni.png.
